I checked out the latest tramp from tramp CVS, and changed the start
of tramp-compat to look like:

(eval-when-compile

  ;; Pacify byte-compiler.
  (require 'cl))

(eval-and-compile
  (require 'custom)

Then:

./configure --with-contrib --with-emacs=/usr/bin/emacs-21.4
make
make install

worked fine for me.
