I am sorry but I do not have time to look into the details. However in 
my load-path I have these entries related to nxml/nxhtml:

  "c:/emacs/p/080607/EmacsW32/nxml/nxhtml/"
  "c:/emacs/p/080607/EmacsW32/nxml/related/"
  "c:/emacs/p/080607/EmacsW32/nxml/util/"
  "c:/emacs/p/080607/emacs/lisp/nxml"

Is there any reason you can't load it the way I recommend?
