Windows 7, Emacs 24.3:
On command line (aka cmd) I do:
foo.exe ENTER
and I get a readable correct output.
Second try:
foo.exe > foo.txt ENTER and then I open foo.txt in Emacs and I get the same
correct content. But when I try foo.exe in shell-mode in Emacs I get only
junk (chinese characters). What is wrong?

Hard to say, since you didn't tell what kind of output does foo.exe
produce.

Maybe your shell-mode buffer has a different coding system.
What happens if you start your shell this way:
C-x <ENTER> c EXPECTED-CODING <ENTER> M-x shell <ENTER>?
