Completion buffer pops up in it's own frame which I have to close by
clicking [x] button using mouse. This behaviour is very annoying. I
tried following in my .emacs but it still continues.
(setq pop-up-frames nil)
(setq pop-up-windows nil)
I am using "GNU Emacs 22.1.1 (i386-mingw-nt5.1.2600)" on Windows XP
SP2.
Any suggestions would be appreciated.

Does this also happen if you use emacs -Q (to bypass your init file)?
What is, in fact, the value of pop-up-frames? What happens if you set
pop-up-frames to t interactively?
I suspect that something that your .emacs is doing or loading after the
(setq pop-up-frames nil) is setting pop-up-frames to non-nil.
BTW, the problem of your having to close the frame manually is a bug (still
existing, AFAIK). After completion is done, the *Completions* frame should
disappear.
(If you for some reason do want a separate *Completions* frame, but just
don't want to be obliged to close it manually, try Icicles:
